Customer Referral Agreement 

Terms and Conditions

Welcome to the 1 Inc. (herein referred to as “Golden”),  Customer Referral Program (the "Program"). These terms and conditions (the "Terms") govern your participation in the Program, which allows you to refer potential customers to Golden and earn rewards as described herein.

1. Eligible Referrers
   
   
   1. To be an Eligible Referrer, you must:
      1. be of legal age in your jurisdiction to participate
      2. not be restricted or prohibited from receiving compensation (in any form) due to agreements entered into with an employer or other entity (e.g., conflict of interest policies)
   2. Additional eligibility requirements may be determined exclusively by Golden; all decisions made by Golden regarding eligibility and rewards are final and binding.
      
      
2. Successful Referrals
   
   
   1. A Successful Referral is defined as a Golden customer who:
      1. Is introduced to Golden through an official Referral Channel (a dedicated referral collection and attribution mechanism, such as the referral form on our website, or otherwise specified channel on our website or in Program-related communications) 
         1. Note: connections made outside of a Referral Channel (e.g., via email) will be evaluated for eligibility on a case-by-case basis 
      2. Signs-up for a new paid software subscription (i.e., not a free plan or a renewal of an existing subscription) to Golden's platform within 6 months of the introduction (specified in Section 3.a.i).
      3. Satisfies the Payment Requirements for an eligible referral fee to be earned, which are as follows (varied by subscription type):
         1. For Professional Plans, the customer must complete at least 3 monthly payments (or the equivalent if paid in a lump sum)
         2. For Enterprise Plans, the customer must complete the full payment for the Initial Service Term
      4. Is otherwise deemed eligible by Golden, in its sole discretion
         
   2. Once a successful referral is verified, you may be eligible for a Referral Reward (as described in section 4).
      
      
3. Referral Rewards
   
   
   1. Eligible Referrers may receive a reward for each Successful Referral, which is subject to the limits and conditions set forth by Golden.
   2. Golden is offering the following Referral Rewards for Successful Referrals of:
      1. a Professional Plan customer = $100 cash equivalent
      2. an Enterprise Plan or Custom Plan customer = $500 cash equivalent
   3. Golden reserves the right to modify the rewards, eligibility criteria, and payment amounts at any time without prior notice.
      
      
4. Reward Delivery
   
   
   1. Reward delivery will be made to eligible referrers as soon as practicable after a Successful Referral (generally by the end of the month following the Successful Referral) through a fulfillment partner of Golden’s choosing
   2. In the event that rewards surpass certain dollar thresholds, Golden may be required to disclose those rewards to certain regulatory entities (for example, the Internal Revenue Service)
   3. Reward Rewards may be subject to applicable taxes, and it is the responsibility of the recipient to report and pay any taxes associated with the rewards.
      
      
5. Program Changes and Termination
   
   
   1. Golden reserves the right to modify, suspend, or terminate the Program at any time without prior notice. In the event of Program termination, no further rewards will be earned.
   2. Terms are subject to change at any time without notice and in accordance with all applicable laws, regulations, and conflict-of-interest policies; any modifications will be effective immediately upon posting on Golden's website.
   3. It is your responsibility to review the Terms periodically to stay informed about any changes.
      
      
6. Miscellaneous
   
   
   1. These Terms constitute the entire agreement between you and Golden regarding the Program and supersede all prior agreements and understandings.
   2. These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.
   3. Any disputes arising from or related to these Terms or the Program shall be subject to the exclusive jurisdiction of the courts in California.
   4. Golden reserves the right to disqualify any referral or withhold rewards if it suspects fraudulent activity, abuse, or violations of these Terms.
